RCI Fund

The Resource Capital Investments Fund was established on 3 October 2006 as an Australian domiciled private unlisted unit trust and is limited to a maximum number of 20 investors. The Fund's commencement date was November 30, 2006.

The aim of the Fund is to generate a strong investment return to its unit holders, independent of the returns of the market as a whole, predominantly through investments in the junior end of the resource market. This is a market segment that is expanding due to unprecedented demand for commodities from growing and established economies including the US, Europe, China and India. The initial focus of the Fund is opportunities in the uranium sector.

The minimum investment in the Fund is A$50,000. Any application for units in the Fund must be made on the application form that forms part of the Information Memorandum.

Disclosure
The Fund is not a registered managed investment scheme and the units are not a financial product for the purposes of the Corporations Act 2001 of Australia. The Manager does not hold an Australian financial services licence and neither it nor any of its associates is in the business of promoting managed investment schemes. This Information Memorandum is not, and is not required to be, a disclosure document within the meaning of the Corporations Act 2001. Accordingly, the Information Memorandum does not contain the same level of disclosure required for those above mentioned documents. The Information Memorandum is also not lodged with the Australian Securities and Investments Commission and is not required by the Corporations Act 2001 to be lodged.

The offer of units in the Fund is available to persons in Australia. The Information Memorandum does not constitute and may not be used for the purpose of, an offer, or solicitation in any jurisdiction or in circumstances in which such offer or solicitation is not authorised or where a disclosure document is required. No person receiving a copy of this Information Memorandum in any jurisdiction may treat it as constituting an offer or an invitation to that person to apply for units in the Fund unless, in the relevant jurisdiction, such an offer or invitation could lawfully be made to the person. The units are not being offered or targeted to U.S. persons.
